Proprietary Software License Agreement
- Agreement
By using, copying, or distributing the software and documentation (collectively referred to as the "Software") provided by Jonathan M. Frame, you agree to be bound by the terms of this Proprietary Software License Agreement ("Agreement"). If you do not agree to the terms of this Agreement, do not use or copy the Software.
- License Grant
Jonathan M. Frame hereby grants you a non-exclusive, non-transferable, revocable license to use the Software solely for academic and non-commercial use in accordance with this Agreement.
- Restrictions
You may not:
Modify, translate, adapt, or otherwise create derivative works or improvements of the Software.
Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Software.
Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to any third party for any reason.
Remove, delete, alter, or obscure any trademarks, copyright, or other proprietary notices from the Software.
- Intellectual Property Rights
The Software is the intellectual property of Jonathan M. Frame, and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold.
- Termination
This Agreement is effective until terminated. You may terminate this Agreement at any time by ceasing all use of the Software. It will also terminate immediately if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Software in your possession.
- Disclaimer of Warranties
The Software is provided "as is," with all faults, defects, bugs, and errors. Jonathan M. Frame makes no warranties, express or implied, and expressly disclaims all warranties, including any warranties of accuracy, completeness, performance, merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Jonathan M. Frame be liable for any direct, indirect, special, incidental, consequential, or punitive damages arising out of or related to this Agreement or the use of or inability to use the Software.
- Governing Law
This Agreement is governed by and construed in accordance with the laws of [Your Jurisdiction], without giving effect to any choice or conflict of law provision or rule.
- Entire Agreement
This Agreement constitutes the entire agreement between you and Jonathan M. Frame regarding the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Software.
